Some of the members here are also emotional eaters so they may have some advice for you. I am not an emotional eater (I clean...yes you heard right) so not much help there but perhaps a emotion/food diary.
With exercise, you need to make it a priority to really be able to get serious about it. How about short sessions of around 10 mins a few times a day so you can fit it in around other things. Kate has a DVD that has a number of 10 mins workouts that she is finding helpful. Personally I do my workouts during the week during my lunch break as I won't get up earlier and never find the time after work.
